1. Agreement to Terms

By accessing or using CANNECT.AI ("the Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and CANNECT.AI regarding your use of our video advertising platform for cannabis dispensary vending machines.

2. Description of Service

CANNECT.AI is a video advertising platform that enables users to:

  • Upload and manage video advertisements
  • Generate AI-powered video content
  • Display video ads on connected dispensary screens
  • Manage advertising campaigns and analytics
  • Access moderation and compliance services

3. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Comply with all applicable laws regarding cannabis advertising in your jurisdiction
  • Not be prohibited from accessing the Platform under applicable laws
  • Represent a legitimate business entity (for business accounts)

4. Account Registration

4.1 Account Creation

You may register for an account using:

  • Email and password
  • Google OAuth authentication

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information is accurate and current

4.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in prohibited activities.

5. Subscription Plans and Billing

5.1 Subscription Tiers

We offer multiple subscription plans:

  • Free: Limited tokens and basic features
  • Basic: 500 tokens per billing period
  • Pro: 2,000 tokens per billing period

5.2 Payment Terms

  • Payments are processed securely through Stripe
  • Subscriptions renew automatically unless canceled
  • All fees are non-refundable except as required by law
  • Prices may change with 30 days' notice

5.3 Token System

Tokens are used for video uploads, AI generation, and other platform features. Unused tokens do not carry over between billing periods.

6. Content Guidelines and Restrictions

6.1 Acceptable Content

All video content must:

  • Comply with applicable cannabis advertising regulations
  • Be truthful and not misleading
  • Not target minors or promote irresponsible use
  • Meet our technical specifications (format, size, duration)

6.2 Prohibited Content

You may not upload content that:

  • Violates any laws or regulations
  • Infringes intellectual property rights
  • Contains explicit, offensive, or inappropriate material
  • Promotes illegal activities or substances
  • Makes false or unsubstantiated health claims
  • Depicts minors or appeals to underage audiences

6.3 Content Moderation

All content is subject to moderation and must be approved before display. We use both AI-powered tools (AWS Rekognition) and human moderators to review content.

7. Intellectual Property Rights

7.1 Your Content

You retain ownership of content you upload. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to:

  • Store, process, and display your content
  • Distribute content to connected dispensary screens
  • Analyze content for moderation and compliance
  • Generate thumbnails and previews

7.2 Our Platform

The Platform, including all software, designs, trademarks, and content (excluding user content), is owned by CANNECT.AI and protected by intellectual property laws.

8. User Responsibilities

You agree to:

  • Provide accurate and complete information
  • Comply with all applicable laws and regulations
  • Obtain necessary licenses and permissions for content
  • Not interfere with or disrupt the Platform
  • Not attempt to gain unauthorized access
  • Not use the Platform for illegal purposes
  • Not impersonate others or misrepresent affiliations

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CANNECT.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE PLATFORM.

9.3 No Guarantee

We do not guarantee specific results from using our platform, including views, engagement, or sales conversions.

10. Indemnification

You agree to indemnify and hold harmless CANNECT.AI from any claims, damages, losses, or expenses arising from:

  • Your use of the Platform
  • Your content and campaigns
  • Your violation of these Terms
  • Your violation of any laws or third-party rights

11. Termination

Either party may terminate this agreement at any time. Upon termination:

  • Your access to the Platform will cease
  • No refunds will be provided for unused subscription time
  • We may delete your content after 30 days
  • Provisions that should survive termination will remain in effect

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use after changes constitutes acceptance of the modified Terms.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the jurisdiction where CANNECT.AI is registered, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes shall first be attempted to be resolved through good faith negotiations. If unsuccessful, disputes may be resolved through binding arbitration.

14. Miscellaneous

14.1 Entire Agreement

These Terms constitute the entire agreement between you and CANNECT.AI regarding the Platform.

14.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

14.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

14.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms to any affiliate or successor.
